Public offer contract

The public offer contract in accordance with the provisions of Art. Art. 633, 634 of the Civil Code of Ukraine is a public contract on the provision of services through the website wgrand.com.ua (hereinafter - the Site), which defines the relationship between "TTK Way Grand LLC" (hereinafter - the Carrier) and any persons - users of the site (hereinafter - the User/s) who have accepted (accepted) a public proposal (offer) (hereinafter - the Offer).

Acceptance of the offer includes any actions of the User, in particular, but not exclusively: registration/authorization on the Site, creating an order for services, paying for services, leaving feedback, sending requests to the support service and any other use of the site.

According to articles 633, 634 of the Civil Code of Ukraine, the terms of the Contract offer are the same for all Users of the site and cannot be changed by the second party to the contract.

The user using the Site accepts the terms of this Offer and unconditionally agrees with them. If the User does not agree with the terms of the Offer, he must stop using the Site and leave it. If the User has not familiarized himself with this Offer and continues to actively use the Site, this indicates that the User has accepted the terms of the Offer and unconditionally agrees with them.
TERMS AND DEFINITION

Public offer – a public offer of the Carrier, addressed to an unlimited number of (natural and/or legal) persons to enter into an agreement on the same terms and conditions defined by this public agreement (offer) on the provision of passenger and baggage transportation services using the site.

Acceptance of the offer is a full, unconditional, unconditional acceptance by the User of the terms of the Public Offer by performing any actions on the use of the site. Any use of the Site means that the user is familiar with the terms of the offer, agrees with it, understands and accepts the terms without reservations and is excluded. In case of disagreement with any of the terms of the offer, the User has no right to use the Site and must stop using it.

The site is an Internet resource located at the address on the Internet wgrand.com.ua with all its functionality, pages, graphics, etc., intended for obtaining services for searching for a bus route, obtaining information about its route, availability of seats, ticket prices, registration, booking, sale of travel documents (tickets) for this transport and other services.

The user of the site is any legally competent individual, the individual is an entrepreneur and/or his representative, representative of a legal entity, who have accepted the terms of the offer and are making any use of the site.

The carrier is the company "TTK Way Grand LLC", which directly provides services for the transportation of passengers and luggage by road transport and cooperates with other legal entities and individual entrepreneurs under the terms of partnership, intermediary and other agreements.

A passenger is a natural person who has a travel document (ticket) in his name, who intends to use or has used transportation services provided by the Carrier.

The payer is an individual, a legal entity, or an individual entrepreneur who pays for services for the benefit of the User/Passenger.

Travel document (ticket/exchange form/electronic voucher/route list, boarding document, etc.) – a visual form of an electronic travel document, generated by the site, sent to the electronic address provided by the Passenger, printed on a paper carrier or stored on the Passenger's mobile device, contains the necessary information about the transportation service (the name of the carrier, the route, the amount of the insurance fee and the insurer, the cost of the service etc.), is a contract between the Carrier and the Passenger and grants the Passenger the right to use the transportation service.

Baggage is cargo that is allowed to be transported on the bus, the dimensions and weight of which are set by this Offer.

Personal data – data or a set of data about an individual who is identified or can be specifically identified (name and surname, contact data, payment data, email address, etc.).

The owner of personal data is a natural person whose personal data is being processed and who has given consent to its processing.

Processing of personal data - any action or set of actions, such as collection, registration, accumulation, storage, adaptation, modification, update, use and distribution (distribution, realization, transfer), depersonalization, destruction of personal data, including using information (automated) systems.

Consent of the subject of personal data is a voluntary statement of the individual's will to grant permission for the processing of his personal data by providing data during the purchase of a ticket.

The Privacy Policy is a separate document placed on the Site, developed in accordance with compliance with the Law of Ukraine "On Protection of Personal Data" and the European Law "General Data Protection Regulation" (GDPR) on strengthening the protection of personal data.
1. SUBJECT OF THE AGREEMENT

1.1. Under this Agreement, the Carrier undertakes to provide passenger and baggage transportation services, pre-paid by the Site User/Passenger, in accordance with the requirements of the current legislation of Ukraine and the terms of this Public Offer.
2. TERMS OF PROVISION OF PASSENGER AND LUGGAGE TRANSPORTATION SERVICES

2.1. General conditions and procedure for purchasing a travel document (ticket).

2.1.1. Passenger and baggage transportation services are provided by the Carrier exclusively on the basis of a travel document (ticket).

2.1.2. The travel document (ticket) is a contract of carriage concluded between the Passenger and the Carrier, on the basis of which the Passenger has the right to use the vehicle and related services exclusively on the flight specified in the travel document (ticket).

2.1.3. The travel document (ticket) is a registered document for bus travel and cannot be transferred to another person.

2.1.4. The travel document (ticket) is valid from the moment of its payment and is valid until the date and time of arrival at the destination specified in it.

2.1.5. The travel document (ticket) after its registration and payment by the Site User/Passenger on the Carrier's site, is generated by the electronic booking and sale system of travel documents (tickets) and sent to the Site User/Passenger's email address.

2.1.6. When receiving a travel document (ticket), the Passenger must immediately check the correctness of the data indicated on it, as well as the correspondence of the ticket price with the paid amount. Claims presented later are not satisfied.

2.1.7. The user of the site, who has booked and paid for a travel document (ticket) and other services of the Carrier using the site, confirms that he is familiar with and unconditionally accepts the terms of this Public Offer and the terms of the Privacy Policy.

2.1.8. If the User of the site/payer for the services is not a Passenger, he confirms that he is the authorized person of the Passenger in whose name the booking and payment of the services is being made and undertakes to inform the Passenger of the terms of this Public Offer and the terms of the Confidentiality Policy. and other information necessary to receive the Passenger transportation service.

2.1.9. The passenger, having received a travel document (ticket) in his name, confirms that he is aware of the conditions of this Public Offer, Privacy Policy and unconditionally accepts them.

2.1.10. The passenger, in whose name an electronic ticket was purchased online, must print it on a paper medium or save it on a mobile device and present it when boarding the bus. In the absence of a printed electronic ticket, the Carrier has the right to refuse transportation, without the right to compensation. When entering erroneous or non-existent data when purchasing an electronic ticket, the Carrier also has the right to refuse transportation, without the right to compensation.

2.1.11. A photocopy of a ticket is not recognized as a travel document.

2.1.12. If the travel document (ticket) is lost at the time of dispatch, it can be restored at the place of purchase for an additional fee.

2.1.13. The passenger must arrive at boarding at least 20 minutes before the departure of the bus. The passenger must present the travel document and his hand luggage to the representative of the Carrier (driver, controller, etc.), who, in turn, will determine the seat that the passenger will occupy on the bus, if the seat number is not indicated in the travel document (ticket). The place of boarding of the passenger is indicated only by the representative of the Carrier. Places specified by a representative of any other person (sales agents, intermediaries, etc.) are invalid. Having taken his seat, the Passenger must not prevent other Passengers from boarding.

2.1.14. For safety reasons, escorts and other persons, except passengers, are not allowed in the bus cabin.

2.1.15. In the absence of a passenger to board the bus at the time and place specified in the ticket, the Agreement on the provision of transportation services is considered terminated at the initiative of the Passenger, and the Carrier reserves the right to sell the travel document (ticket) to a free seat.

2.1.16. You can change the departure date 2 (two) times for free. All changes are indicated on the travel document (ticket) and confirmed by the signature of the authorized person and the seal of the Carrier. Changing the departure date is possible only if there is a free seat on the bus. Changing the departure station or the destination station within one flight is free of charge plus an additional charge for the difference in price. Overpayment is not refundable.

2.1.17. When changing the departure date, the passenger must pay the difference between the initial and new ticket price, if the ticket on the transfer date is more expensive. If the price of the ticket for the rescheduled date is lower than the price of the previous one, the difference in the price of the passenger nit returns.

2.1.18. On all flights of the Carrier, children and youth under the age of 16 can only travel accompanied by adults.

2.1.19. Children under the age of 12 are not allowed to sit in the driver's seat, i.e. numbers 1, 2, 3 and 4.

2.1.20. The carrier is not responsible for the delay during movement and untimely arrival at the destination stations, if this was caused by circumstances independent of it (including delays when passing customs borders, weather conditions, traffic jams, actions of state authorities, road repair work, etc., by the actions of the passengers themselves, which influenced the fulfillment of these circumstances) and other reasons (technical problems that arose with the bus during movements that could not be prevented by the Carrier, despite all the precautions taken).

2.1.21. The carrier has the right to install video surveillance systems in the cabin of the vehicle (bus) to ensure round-the-clock security of passengers, in accordance with the Geneva Convention of the United Nations Organization against Transnational Organized Crime, the Council of Europe Convention on Measures to Counter International Terrorism and Human Trafficking.

2.1.22. Passengers have the right to leave all complaints, suggestions and comments on the provision of services in the Book of Complaints and Suggestions.

2.1.23. Complaints sent in writing to the legal address of the Carrier are considered within 30 days from the day of their receipt. If the Passenger's complaints are related to services provided by partners, agents and other persons on behalf and in the interests of the Carrier, the term of such a complaint can be extended up to 60 working days. By booking and paying for a travel document (ticket) and other services of the Carrier using the website, he confirms that he is familiar with and unconditionally accepts the terms of this Public Offer and the terms of the Privacy Policy.
2.2. Rules of behavior on the bus

2.2.1. It is forbidden to smoke, consume alcoholic beverages and drugs while driving in the bus cabin.

2.2.2. The bus crew may refuse to transport a passenger in an intoxicated state, with dirty clothes, as well as in the event that his actions disturb peace or create danger for other passengers.

2.2.3. It is categorically forbidden to walk around the cabin and stand in the aisles while the bus is moving.

2.2.4. During the trip, it is forbidden to put your feet on the seat, lie on the seats or the floor of the bus.

2.2.5. If the bus is equipped with seat belts, the passenger must fasten them and use them as intended. Failure to comply with this requirement may result in a fine being imposed directly on the Passenger.

2.2.6. It is possible to use boiling water only with the permission of the driver or flight attendant during the stop in order to avoid accidents.

2.2.7. During the trip, watching movies and listening to music can be offered to Passengers. Taking into account the variety of tastes and views of the Passengers, the Carrier reserves the right to choose films and music, but may take into account the opinion of the Passengers.

2.2.8. Garbage must be placed in individual bags and thrown into garbage cans in parking lots.

2.2.9. When the bus is parked, before leaving the seat, the Passenger must make sure that the back of the seat is in a vertical position, the table is closed and the footrest is removed.

2.2.10. It is strictly forbidden to distract the driver while driving.

2.2.11. In case of violation or non-compliance with the rules of behavior on the bus by the Passenger, the Carrier reserves the right to remove the passenger from the flight without compensation for the cost of the travel document (ticket).
2.3. Baggage transportation rules.

2.3.1. One Passenger is entitled to free transportation:

— luggage occupying 2 (two) seats and having a total size of no more than 80x40x40 cm, with a total weight of up to 40 kg.

- hand luggage weighing up to 10 kg, occupying 1 (one) seat. Hand luggage is a bag that can be easily carried and can be placed under the seat or above the passenger seat.

2.3.2. If luggage is larger than 80x40x40 cm and weighs more than 40 kg, it can be accepted for transportation if there is free space in the luggage compartment of the bus and for an additional fee.

2.3.3. The Carrier is not responsible for the Passenger's personal belongings and storage of hand luggage.

2.3.4. Additional baggage is subject to transportation only if there is free space in the luggage compartment of the bus and is subject to a separate payment. Additional baggage must not exceed the size and weight of the main baggage. The free space in the luggage compartment is determined by the driver upon boarding, taking into account the total number of passengers in the bus, distribution by city and other factors.

2.3.5. The carrier is not responsible for any damage to easily broken, perishable things, perishable, improperly packed, valuable (money, documents, electronic and technical means, etc.) things transported in the luggage compartment of the bus.

2.3.6. The carrier is not responsible for minor or superficial damage to registered baggage transported in the luggage compartment of the bus, in particular, for broken wheels and handles, lost seat belts and minor damages such as cuts, scratches, creases or stains that appeared during the journey. normal depreciation and use when traveling.

2.3.7. Oversized items are not accepted for transportation, in particular, but not exclusively, refrigerators, televisions, sofas, etc.

2.3.8. It is forbidden to transport luggage that threatens the safety or health of other passengers, may damage other luggage or the vehicle.

2.3.9. The carrier is not responsible for the passenger's loss of money, jewelry, passport, securities, collectibles, objects of scientific value and other valuables that are not in the luggage compartment of the bus.

2.3.10. Transportation of animals is possible only with the written consent of the Carrier and for a separate fee. Any animal of any size is transported on a separate ticket with a separate seat. Animals can be transported only in a specially designed box (container, cage, etc.). Transportation of dogs is allowed only in a muzzle. Any animal to be transported by the Carrier's bus must be vaccinated and the passenger must have a corresponding document. Damage caused by animals to other passengers or the Carrier shall be reimbursed by the Passenger in full, taking into account fines, fines and any other expenses.

2.3.11. The carrier is not responsible for the storage of items and luggage left on the bus. But takes measures to return forgotten items to the owner by handing them over to the nearest representative office of the Carrier.
3. MUTUAL CALCULATIONS

3.1. The total cost of the service under this offer consists of the cost of the travel document (ticket), the cost of baggage transportation, cash/service fee, etc. (hereinafter - the cost of the service).

3.2. The payment of the cost of the service under this Offer can be made in any form: through the site with the help of acquiring in cashless form, through financial institutions in cashless form, in cash at ticket offices selling travel documents (tickets), etc.

3.3. Payment of the cost of the service under this Offer is made in the amount of 100% of the subscription.

3.4. Since the User of the site, the passenger and the payer for the services are not always the same person, the refund is made exclusively to the payer on his account or in person, if the necessary documents are available.

3.5. Money for services provided in accordance with this Offer is returned exclusively to the person to whose account they were paid - the Carrier or its partners.

3.6. An unused travel document (ticket) with all tear-off coupons and other documents confirming payment is the basis for a refund.

3.7. Money for a paid, but unused service is not returned.

3.8. A passenger who does not show up or is late for a flight before his departure does not have the right to a refund of the cost of the paid service.

3.9. The passenger has the right to refuse passenger and baggage transportation services and receive the cost of the paid service after deducting the cash/service fee in the following amounts:

— cancellation more than 24 hours before the departure of the flight specified in the travel document (ticket) - the full cost of the paid service is returned;

— cancellation less than 24 hours before departure of the flight specified in the travel document (ticket) — funds are not refunded;

3.10. Passengers who have the right to benefits must confirm their right to benefits with the appropriate document and have it available during the entire time of receiving the service from the moment of departure to the moment of arrival at the destination.

3.11. Discounts, benefits or promotional offers for services are not included, the Passenger has the right to use only one of the selected discounts, benefits, promotional prices for services, etc.
4. RIGHTS AND OBLIGATIONS

4.1. The site user/Passenger has the right to:

4.1.1. to receive timely and complete information about the conditions and procedure for providing services for the transportation of passengers and luggage;

4.1.2. for the safe receipt of services provided by the Carrier;

4.1.3. for the compensation of documented damage caused if the Carrier is at fault;

4.1.3. for the following compensatory measures in case of flight cancellation by the Carrier:

— travel by the nearest flight of the Carrier or its partner to the destination;

— for a refund of the cost of the travel document (ticket) in accordance with the part of the unused service (for the road that was not traveled).

4.2. The site user/Passenger undertakes to:

4.2.1. specify necessary and reliable information when placing an order;

4.2.2. will pay for services in accordance with the terms of this Public Offer;

4.2.3. The passenger must arrive at the boarding place no later than 30 minutes before the departure of the bus;

4.2.4. will present a document from which the application of discounts or benefits to services is considered. In the absence of a document confirming the validity of the discount or benefit, the Passenger has the right to use the service only after additional payment to the standard (without discount) cost of the service.

4.2.5. The passenger is obliged to keep the documents for payment of the service until arrival at the destination specified in the travel document (ticket).

4.2.6. The passenger must present the documents for the right to use the service (travel document) to the representative of the Carrier, the driver or another authorized person upon their first request.

4.2.7. along the route, the bus makes stops, the number and duration of which is announced by the driver or flight attendant. If the passenger does not comply with the time announced for the stop, the driver has the right to extend the journey along the route, and the Passenger carries out the journey to the destination independently without compensation for the costs of the remaining journey.

4.2.8. The passenger must treat the bus equipment with care and not allow it to be damaged. In the event of damage to the equipment of the vehicle (bus) or the vehicle itself by the Passenger, the latter bears financial responsibility to the Carrier for the damage caused and is obliged to compensate the Carrier for the related material damage.

4.3. The carrier has the right to:

4.3.1. to cancel bus trips in case of circumstances threatening the life and health of Passengers or other persons without compensation for the cost of paid services for the transportation of passengers and luggage.

4.3.2. limit or terminate the provision of passenger and baggage transportation services in the event of a natural disaster, epidemic or other emergency situation that the Carrier could not foresee;

4.3.3. stop the movement of the vehicle (bus) if there is a threat to the life and health of Passengers or other persons;

4.3.4. change the conditions of the Public Offer, including correcting the current tariffs, by publishing notices of such changes on the Site;

4.3.5. engage third parties to provide services provided by this Public Offer;

4.3.6. require the Site User/Passenger to comply with the terms of the Public Offer to which they have agreed in accordance with its terms.

4.4. The carrier undertakes:

4.4.1. provide services provided by the terms of this Public Offer and the requirements of the current legislation.

4.4.2. to take measures to provide safe, convenient and quality services for the transportation of passengers and luggage.

4.4.3. to compensate for the damage caused to the Passenger's health and property in the event of his fault;

4.4.4. to take measures to maintain the vehicles with which services are provided in a technically sound condition.

4.4.5. to ensure the delivery of the bus to pick up Passengers at the date, time and place specified in the travel document (ticket);

4.4.6. to ensure mandatory personal insurance of Passengers against transport accidents in accordance with the procedure established by legislation;

4.4.7. provide information and advice on questions arising from Passengers regarding the use of services: ordering, conditions of purchase and return of a travel document (ticket);

4.4.8. use and store confidential information received from the Site User/Passenger when using the Site in accordance with the Privacy Policy.

4.4.9. The carrier has the right to change the schedule of traffic, the use of additional buses, as well as the replacement of the Passenger's seat on the bus without prior consent and notification.
5. CONFIDENTIALITY

5.1. Any information provided by the Site User/Passenger when booking seats, purchasing, returning travel documents or ordering other services on the Site, including but not limited to personal data, in particular, surname, patronymic, identification code, phone number, e-mail address, bank details, etc., is considered confidential under this Public Offer.

5.2. The User/Passenger consents to the collection and processing of personal data by the Carrier and its partners for the purpose of providing high-quality services under this Public Offer by taking active actions — ticking the appropriate box.

5.3. The carrier guarantees that the use of personal data of the User/Passenger is carried out only for the purpose of providing high-quality services under this Public Offer in accordance with the Privacy Policy, the requirements of Ukrainian, international, and European legislation on the protection of personal data, in particular, the European law "General Data Protection Regulation" (GDPR).
6. FORCE MAJEURE

6.1. The Carrier is released from responsibility for partial or complete non-fulfillment of obligations under this Public Offer, if it was the result of force majeure circumstances (action of forces of nature, political or man-made nature, military actions or war, introduction of a state of emergency, actions of state bodies and their adoption of acts) that directly prohibit, create conditions or make impossible the fulfillment of obligations by the Carrier) ory Parties could not foresee that it does not depend on their will and if these circumstances directly affected the fulfillment of obligations under this Public Offer.

6.2. When the circumstances specified in clause 6.1 occur, the carrier will notify the Passenger by any possible means of communication. The notification must contain data on the nature of the circumstances that exclude the fulfillment of the conditions of the Public Offer by the Carrier with the indication of the relevant documents (if available).

6.3. In the event of a force majeure situation for the Passenger, the date of travel on the purchased ticket may be postponed to a date agreed upon by the Parties at the request of the Passenger.
7. COPYRIGHT

7.1. All materials presented on the Site belong to the Carrier and its partners by intellectual property rights. All materials placed on the Site are protected by copyright and intellectual property rights, including, but not limited to, the design of the Site, names, trademarks, logos, texts, rights to databases and other elements of the Site.

7.2. The user of the site has no right to partially or fully copy, distribute or otherwise use or reproduce the content of the Site or the main program code without the prior written permission of the Carrier.
8. RESPONSIBILITY AND RESOLUTION OF DISPUTES

8.1. In case of violation of their obligations under this Public Offer, the Carrier, the user of the site, the Passenger bear the responsibility determined by this Public Offer and the current legislation of Ukraine. A violation of an obligation is its non-performance or improper performance, that is, performance in violation of the conditions determined by the content of the obligation.

8.2. The Carrier, the User of the site, the Passenger are not responsible for the violation of their obligations under this Public Offer, if it occurred through no fault of theirs. The party is considered innocent if it proves that it has taken all necessary measures for the proper fulfillment of the obligation.

8.2. All disputes and disputes arising from this Public Offer shall be resolved through negotiations.

8.3. In case of impossibility of resolution of the dispute and the dispute through negotiation, the dispute shall be resolved in a court of law in accordance with the current legislation of Ukraine.
9. FINAL PROVISIONS

9.3. The Public Offer Agreement enters into force at the moment of starting to use the Site and is valid until the Parties fully fulfill their obligations.

9.4. In everything that is not provided by this Public Offer, the Carrier, the User of the site, the Passenger are governed by the current legislation of Ukraine.

9.5. Documents transmitted by electronic means of communication (electronic documents) can be taken into consideration for exchanging them for originals.
